These Terms of Use govern your access to and use of the Nister AI website, software, dashboards, automation services, onboarding flows, support channels, hosted environments, and related services provided by Nister AI Ltd (Nister AI, we, us, or our). By using the Services, you agree to these Terms.
1. Nature of the Services
Nister AI provides software, automation, infrastructure, monitoring, hosted execution support, and related tools for automated trading workflows through supported third-party broker environments.
Nister AI:
- is not a bank, broker, dealer, custodian, exchange, fund, or trustee;
- does not accept deposits from users;
- does not hold pooled client funds;
- does not guarantee profits or avoidance of loss; and
- does not provide personalized investment, legal, tax, or accounting advice.
2. Eligibility
- You are at least 18 years old (or the age of majority in your jurisdiction).
- You have legal capacity to enter contracts.
- Your use is not prohibited by applicable law.
- You are not using the Services from restricted or sanctioned jurisdictions.
- Information you provide is accurate and complete.
3. No Financial Advice; No Performance Guarantee
Nothing on the platform, website, support communications, or promotional materials is financial, legal, tax, or investment advice. All trading involves risk and losses are possible, including loss of capital.
4. Third-Party Brokers, Platforms, and Providers
The Services rely on third-party brokers, trading platforms, market data services, cloud/VPS providers, and payment providers. We are not responsible for third-party outages, broker execution quality, policy changes, pricing behavior, solvency, or account actions.
5. User Responsibility and Account Control
You remain solely responsible for your broker account and all trading outcomes.
- Selecting, funding, and monitoring your broker account.
- Securing credentials and devices.
- Maintaining hardware/internet/power for Local mode.
- Complying with applicable law, broker rules, and tax obligations.
6. Local Plan and Managed VPS Plan
Local Plan
Continuity depends on your own device and connectivity. We are not liable for missed trades or downtime caused by local environment failures.
Managed VPS Plan
Managed hosting can improve convenience and uptime, but does not guarantee uninterrupted service, successful execution, or profitability.
7. Subscription, Billing, and Fees
- Fees are due in advance per billing cycle.
- Prices may change with notice.
- Failure to pay may lead to suspension or termination.
- Unless required by law or stated otherwise, fees are non-refundable.
8. Trials, Promotions, and Beta Features
We may modify or withdraw trials, promotions, and beta features at any time.
9. Acceptable Use
You may not misuse, reverse engineer, exploit, or use the Services for unlawful activity.
10. Intellectual Property
The Services and all related materials are owned by or licensed to Nister AI. You receive a limited, revocable, non-transferable license to use the Services under these Terms.
11. Communications
We may contact you about onboarding, billing, support, security, and operational updates.
12. Privacy
Your use of the Services is also governed by our Privacy Policy.
13. Service Availability; Changes
We may modify, suspend, discontinue, or restrict portions of the Services for maintenance, legal, security, or operational reasons.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided as-is and as-available without warranties of merchantability, fitness, non-infringement, uninterrupted availability, or guaranteed outcomes.
15. Limitation of Liability
To the maximum extent permitted by law, Nister AI is not liable for indirect, incidental, consequential, special, exemplary, or punitive losses, including loss of capital, profit, data, or opportunity arising from use of the Services, market losses, third-party failures, or execution variances.
Aggregate liability is limited to subscription fees paid in the three (3) months preceding the event giving rise to a claim, except where liability cannot be lawfully excluded.
16. Indemnity
You agree to indemnify Nister AI against claims arising from your use, violations, or unlawful acts.
17. Suspension and Termination
We may suspend or terminate access for breach, non-payment, abuse, legal risk, fraud, or operational/security concerns.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of Cayman Islands. Disputes are submitted to the courts of George Town, Cayman Islands, unless mandatory law requires otherwise.
19. Changes to These Terms
We may update these Terms periodically. Continued use after updates take effect constitutes acceptance of the revised Terms.
